DALLAS- Southwest Airlines (WN) has executed a sale-leaseback agreement with BBAM for 36 Boeing 737-800 aircraft through BBAM’s Incline Aviation III investment fund.

The transaction forms a crucial component of Southwest’s “Southwest. Even Better.” transformation strategy announced during their September Investor Day.

The agreement enables Southwest Airlines to generate substantial capital by monetizing surplus value from their existing Boeing 737 fleet. These funds will support fleet modernization initiatives and offset capital expenditures, aligning with the airline’s broader capital allocation strategy.

BBAM President and CEO Steve Zissis emphasizes this partnership’s significance with Southwest Airlines, highlighting BBAM’s ability to provide customized fleet financing solutions. The transaction represents BBAM’s third major aviation investment fund series through Incline Aviation III.

Southwest Airlines Executive Vice President and CFO Tammy Romo confirms that this agreement advances the airline’s strategic transformation plan. The partnership with BBAM, a leading global aircraft lessor, strengthens Southwest’s financial position while maintaining operational flexibility.

The complete transaction details have been disclosed in Southwest Airlines’ Form 8-K filing with the Securities and Exchange Commission.
